Terms of use

These terms govern access to KEYL, an event planning, coordination and operations platform. The publisher is identified in the legal notice; the client is the organization holding the workspace, and a user is anyone authorized to access it.

Draft version dated October 10, 2026. Full hosting details, data processing arrangements and contractual processes must be confirmed before final publication.
Legal notice Terms of use Terms of sale Privacy policy Cookies

Commerce version dated October 10, 2026 — reference commerce-2026-10-10.

1. Scope

KEYL is for organizations and users acting in connection with their event activities. These terms govern accounts, collaborative workspaces, shared running orders, sellers and event shop users; paid services are also subject to the terms of sale. A product buyer contracts with the seller identified in the shop. Expressly agreed special terms prevail in case of conflict. The data processing agreement prevails for processing performed on the client's behalf.

Users must be able to review the terms before accepting them. The mere presence of a link is not evidence of acceptance. No provision deprives a person of mandatory rights arising from their actual status.

2. Accounts and authorizations

Information supplied must be accurate and kept up to date. Anyone creating a workspace for an organization must have authority to bind it. The client determines its members, roles and access, and promptly removes authorizations no longer needed.

Credentials are personal. Each user protects access and reports any compromise. The client is responsible for actions of authorized people to the extent attributable to it, without releasing the publisher from its own breaches.

3. Scope and operational responsibilities

Modules, quotas and rights depend on the selected plan. Discovery mode allows planning within the stated limits; the Event Pass unlocks the relevant event; a subscription grants organization rights during its validity. A demonstration does not guarantee provision of every feature shown.

KEYL is an organizational support tool. The client remains responsible for safety decisions, permits, insurance, employment relationships, tax and accounting obligations, POS compliance, transport, hospitality and event delivery. It checks data, calculations and reports before use. No status as certified POS software or a safety alert system is guaranteed without an explicit commitment.

The client provides appropriate continuity arrangements: backup connectivity, emergency contacts and copies of essential documents. Notification and email reception depends in particular on equipment, permissions and networks; immediate delivery is not guaranteed.

4. Prohibited uses

Introducing unlawful or malicious content, infringing third-party rights, accessing another organization without authorization, bypassing quotas or protections, probing systems without written agreement, bulk-extracting data or disrupting the service is prohibited. Reselling the software or access requires the publisher's written agreement; product sales in authorized shops follow the Commerce terms below.

Only necessary and lawfully obtained information may be imported. Sensitive data, particularly health data, identity documents and full banking information must not be uploaded without an appropriate contractual framework and safeguards.

5. Content and public sharing

The client retains rights to its content. It authorizes the publisher to host, technically reproduce and transmit it only to provide, secure and support the service. This authorization ends after necessary return, deletion and statutory retention operations. It does not authorize advertising use of the content.

The client warrants it has the necessary rights and legal bases. It controls public running order data and recipients: anyone holding the link can access it according to the sharing settings. It removes or renews sharing that has become inappropriate.

6. Intellectual property

The software, its presentation, trademarks, graphics, text and components remain the property of the publisher or its licensors. The client receives a personal, non-exclusive, non-transferable right to use it within the subscribed scope. Unauthorized copying and use are prohibited, subject to statutory exceptions and third-party component licenses.

7. Availability and suspension

The publisher uses reasonable efforts to provide the service. No quantified availability rate is agreed without a separate commitment. Planned maintenance is announced where possible; urgent work may be needed.

Proportionate suspension may occur for security risks, unlawful use, material breach or non-payment under the terms of sale. Except for urgency, legal obligations or risks to third parties, the client is informed of the reason and given reasonable time to remedy it. Service is restored after resolution. Data return arrangements comply with applicable rules, without abusive withholding.

8. Liability

The publisher is liable for proven direct damage caused by a breach attributable to it. In business-to-business dealings, to the extent permitted by law, its aggregate liability for the service causing the damage is limited to amounts excluding tax paid for that service in the twelve months preceding the event giving rise to liability. For an Event Pass, the cap is the price paid for that Pass.

In business-to-business dealings, indirect damage such as lost opportunities, reputation or profit is excluded to the extent permitted by law. These limits do not apply to intentional misconduct, gross negligence, personal injury, or where they would deprive an essential obligation of its substance or contradict a mandatory rule. They do not limit individuals' GDPR rights.

The client indemnifies the publisher for reasonable costs and court awards directly attributable to its unlawful content or established breaches. It is informed of the claim and may participate in the defense; no settlement at its expense is concluded without its agreement. This indemnity does not cover the publisher's own faults.

9. End of access and changes

Cancellation of a paid plan follows the terms of sale. A user's departure does not automatically delete organization data. Return and deletion are the authorized administrator's responsibility and, for personal data, subject to applicable processing rules.

Material changes are announced before taking effect with reasonable notice and any legally required options to refuse or cancel. They do not apply retroactively to concluded orders unless agreed or legally required.

10. Governing law and complaints

French law applies subject to applicable mandatory protections. Complaints are sent to the publisher using the legal notice contact details. The parties seek an amicable solution without preventing legal action or urgent measures. Otherwise, competent courts are determined by statutory jurisdiction rules.

Special Commerce terms — shops, preorders and points of sale

These provisions, shared by the terms of use and terms of sale, apply to organizers and sellers using Commerce. Business commitments are enforceable only after acceptance by an authorized person. For buyers, they explain the platform without replacing the contract with their seller.

Seller identity and authorizations

The organizer selects the seller for each point of sale: its own organization or an independent operator. “Sold and handed over by” identifies the buyer's contracting party. The seller sets its offer, sells on its own behalf, receives payment into its connected account and handles collection. KEYL supplies the technical service and neither buys nor resells products; the platform commission does not make it the seller, bar operator or organizer. This allocation does not release KEYL from statutory obligations arising from its own acts and platform activity.

The “Bar manager” role is an operational authorization; it does not constitute legal representation. The organizer grants only necessary rights and promptly withdraws them when no longer justified. Only an authorized representative binds the seller regarding its identity, declarations and payment account. An external operator does not have to become a member of the organizing organization.

The organizer and operator directly agree in writing their scope, attendance and operating authorizations, stock ownership, staffing, safety, insurance, fees, cancellations and respective responsibilities. Selecting a seller in KEYL does not conclude an operating contract or transfer an administrative authorization. The organizer remains responsible for its event obligations and for information or instructions attributable to it.

Seller commitments

The representative declares that they are authorized to bind the seller. The seller supplies an accurate identity, contact details, applicable registrations and tax information; it keeps them current and immediately reports any change affecting its right to sell or receive payment. It may not use a third party's identity, authorizations or Stripe account without a lawful framework and appropriate permission.

The seller assumes its obligations regarding product origin, legality, safety, compliance, labeling, hygiene, storage and traceability, allergens and recalls, intellectual property rights, prices and taxes, sales documents, taxation and applicable POS obligations. It holds permits and insurance appropriate to its activity. It offers no prohibited product or product incompatible with applicable Stripe rules. It retains necessary evidence and provides it through an appropriate channel upon a reasoned request justified by an inspection or legal obligation.

Before any order, the seller provides accessible terms of sale and information required for the buyer's status: identity and contact, characteristics and quantities, total price and taxes, collection location and period, restrictions and any fees, complaint handling, guarantees, cancellations, withdrawal and the competent consumer mediator where required. Its terms cannot remove mandatory rights. Listing an offer or completing Stripe onboarding is not KEYL certification of compliance.

Alcohol and declared authorizations

The seller is responsible for licenses, permits, temporary authorizations, declarations, local restrictions, hours and sales conditions applicable to its activity, products and event venue. It verifies their scope and continued validity before selling. “Authorization declared by the operator” records a seller declaration: KEYL does not certify a license or authorization's validity, authenticity or sufficiency. Any document check is not certification and does not replace checks by competent authorities.

Selling alcohol to minors is prohibited. The person handing over the drink requires the customer to establish legal adulthood as required by law; an online checkbox or QR code does not replace this check. The seller trains its teams, refuses prohibited handovers, complies with applicable advertising and prevention rules, and handles the consequences of refusal under applicable law, without automatic forfeiture of the price. Suspension or loss of authorization requires immediate withdrawal of affected offers and handling of orders already paid.

Orders, inventory and collection

An order belongs to one shop and one seller. Displayed availability relies on entered inventory, recipes, quantities and settings; the seller checks this data and physical discrepancies. It maintains backup arrangements suited to event constraints. Digital reservations and scans do not guarantee a product's physical presence, quality or safety.

The payment return page is not sufficient evidence of receipt of funds. The seller relies on payment confirmation and service statuses before handover. Buyers keep their collection link and code confidential and report any compromise. A scan is a traceability record; it does not remove the right to dispute an incorrect handover. The seller checks the order and physically hands it over before confirming collection.

The seller handles unavailability, errors, non-conformity, complaints, delays, event cancellations or postponements and refunds for which it is responsible. It promptly informs buyers and does not arbitrarily substitute products. Failure to collect does not automatically make every amount non-refundable: consequences must have been disclosed, be proportionate and comply with applicable rules. Withdrawal exceptions depend on the exact nature of the contract and legal conditions; no blanket exclusion applies to all preorders or all drinks.

Stripe Connect, commission and payment risks

Online payments are processed by Stripe on the selected seller's connected account using direct charges. The seller accepts applicable Stripe terms, completes requested verification, maintains banking details and payment capabilities, and responds to dispute requests. Stripe may apply delays, fees, reserves or restrictions under its contract and regulations. KEYL guarantees neither a payout schedule nor the absence of fraud, disputes or negative balances; risk allocation follows applicable Stripe contracts, without fictitiously transferring KEYL's own liability.

KEYL's commission is determined by the organizing organization's plan: Pro 3.5%, Business 2.5%, Enterprise at the expressly agreed and configured rate. It applies to the total sale amount collected, including taxes where included, and is calculated in the smallest currency unit with rounding. It is independent of seller identity and collected as an application fee. The rate and its impact must be disclosed to the seller before commitment and sales opening. Stripe's own fees are separate. The tax treatment of KEYL's service is specified on billing documents; no unannounced surcharge may be required.

Refunds requested through KEYL are made to the original account and also request Stripe to refund the corresponding application fee under its rules, including proration. Actual confirmed amounts govern reconciliation; Stripe fees are not necessarily returned. The seller provides necessary funds, handles requests promptly and remains liable for legally due refunds, including when the service or Stripe is temporarily unavailable. KEYL gives no general refund guarantee from its own funds and does not contractually assume the seller's commercial debt, subject to its own statutory obligations.

The seller authorizes necessary technical operations on its connected account within the service scope and granted permissions: payments, commission, inquiries, refunds requested by authorized people and the protective refund described below. To prevent handover of an order whose reservation has been released, a confirmed late payment may trigger a technical refund request to the original account. This authorization covers neither charges unrelated to the affected orders nor transfer of the principal to KEYL.

Reporting, data and evidence

An external operator's sales are not the organizer's revenue. Any fee arises from their separate agreement; only that fee may be recorded as organizer revenue. Dashboards are monitoring tools and must be reconciled with accounting entries, documents, taxes, payouts and Stripe statements; they replace neither accounting nor mandatory filings.

Participants access order data only within a useful and authorized scope. The seller uses it for the sale, handover, legal obligations and disputes; reuse for advertising requires a legal basis and necessary notices or consent. Processing responsibilities are determined by actual purposes, the privacy policy and applicable agreements; they cannot be transferred by a simple clause.

KEYL retains, under applicable periods and rules, declarations and their version, user account identity and acceptance date, seller, product, price and commission snapshots, and payment and handover records. These may be produced as evidence, subject to challenge and legal rules; they are neither conclusive proof nor administrative validation. Participants cooperate with legitimate inspection, recall, fraud or dispute requests. KEYL may disclose legally required information to competent authorities.

Reports, suspension and liability

Buyers send commercial complaints to the seller shown on their order. Technical problems and reports of unlawful offers may be sent to KEYL using the legal notice contact details, identifying the shop, offer or order and reasons for reporting. KEYL reviews reports and takes legally required measures; this channel does not deprive anyone of action against the responsible party.

KEYL may refuse opening or proportionately restrict an offer, shop or access for missing material information, fraud risk, unlawful products, inconsistent declarations, suspended Stripe capabilities or established breach. Reasons and options to remedy or challenge are communicated where legally permitted; urgency or a legal prohibition may justify immediate action. Closure does not remove outstanding orders or refund obligations. Access needed to process them and recover data is arranged where technically and legally possible.

KEYL does not guarantee third-party fulfillment, event success, seller authorizations or solvency. It is responsible for its own breaches under the terms of use and mandatory rules. Business-to-business caps and exclusions are enforceable only against parties to whom they can legally apply; they do not limit buyers' rights against sellers, personal injury, intentional misconduct, gross negligence, essential obligations or GDPR-protected rights.

In business-to-business dealings, the organizer or seller indemnifies KEYL for reasonable costs, substantiated claims and court awards directly attributable to its own established breaches: false representation, unlawful offers, lack of authorization, defective products or handover, failure to meet tax obligations or unlawful data use. The indemnity is limited to its attributable share, excludes KEYL's own faults and applies with prompt notice, access to relevant evidence and participation in the defense. No settlement or admission at its expense is made without its agreement; penalties whose transfer is prohibited remain excluded.

Orders remain governed by the terms accepted when concluded. A new version does not constitute retroactive acceptance. Material changes follow applicable notification, notice and acceptance rules. The seller retains successive terms of sale and evidence of buyer information and acceptance; a link to an editable page is insufficient to prove historical content.
